General Terms and Conditions
1. General – applicable Terms and Conditions
Unless otherwise agreed in writing or except where they conflict with (a) the regulations governing services performed on behalf of governments, government bodies or any other public entity or (b) the mandatory provisions of local law, all relationships between BusinessNL and any entity to which BusinessNL provides its services (hereafter ‘’Client’’) shall be governed by these general conditions of service.
2. Re-confirmation of Work following a bid and prior to project commencement
BusinessNL reserves the right to re-confirm availability to deliver services to Client within 3 working days after being awarded any specific bid / tender. Only after BusinessNL has confirmed such availability of work has the offer by Client been accepted by BusinessNL for execution.
3. Services provided on a best effort basis – active Client involvement
BusinessNL provides its services on a best effort basis. It is explicitly recorded that BusinessNL does not guarantee a specific outcome as desired by the Client, primarily due to its dependence on factors beyond its sphere of influence.
BusinessNL expects its Client to set out the services it desires to be delivered in accurate detail. BusinessNL further grants Client the opportunity to review work delivered by BusinessNL and to request reasonable changes / improvements / additional deliverables up to 5 working days after submission of its work to Client.
4. Limitation of liability
BusinessNL’s liability for direct damages will be limited to 50% of the total amount received, or ultimately receivable, by BusinessNL in relation to the services it has provided, or shall provide, to Client.
Any reliance of the Client on advice provided by BusinessNL shall come without any warranty.
BusinessNL cannot be held liable in any manner for any indirect damages suffered by the Client stemming from or relating to the result of any of the Services rendered to Client by BusinessNL.
5. Commencement of Work
Prior to the commencement of any specific work, the Client shall transfer a minimum of 50% of the agreed service fee to BusinessNL.
6. Compliance with International Anti-Corruption Rules and Regulations
It is recorded that the services provided by BusinessNL to Client will be delivered in compliance with any and all applicable Anti-Corruption and related rules and regulations. In the event of non-compliance with any anti-corruption and / or related rules and regulations by Client, BusinessNL reserves the right to terminate the relationship with immediate effect.
7. Applicable law
This contract shall be governed by the laws of the Republic of South Africa.
